Terms of Service

1. Agreement & Platform Overview

These Terms of Service ("Terms") constitute a legally binding agreement between Recorpo Pvt. Ltd. ("Recorpo", "Company") and the contracting organization ("Client", "Customer") governing all services, platform tools, and global human resource solutions provided by Recorpo.

Recorpo provides professional Employer of Record (EoR), Global Staffing, IT Recruitment, Remote Hiring, Technical Talent Sourcing, Finance & Accounting Talent acquisition, Offshore Dedicated Teams, Payroll Management, India Talent Acquisition, Cross-Border Compliance, Software Developer Hiring, Staff Augmentation, Remote Team Operations, IT Staffing Solutions, CA & CPA Recruitment, Software Engineering Teams, App Publishing Services, International HR Solutions, and Remote Payroll Infrastructure.

2. Employer of Record (EoR) & Legal Entity Exemption

Recorpo acts as the legal Employer of Record (EoR) in India for all workers deployed to Client teams. Under this model:

• Zero Entity Requirement: Client is not required to establish, register, or maintain a local Indian corporate entity or branch.
• Statutory Compliance: Recorpo assumes 100% legal responsibility for Indian employment contracts, local labor laws, Tax Deducted at Source (TDS), Employees' Provident Fund (EPF), Employees' State Insurance (ESI), and statutory benefits.
• Operational Direction: Client retains total operational direction, day-to-day work assignment, sprint oversight, and performance management over assigned talent.

3. IT Staffing, CA Recruitment & Talent Sourcing

Recorpo conducts rigorous 5-stage vetting for all IT Software Developers, AI/ML Specialists, Chartered Accountants (ICAI certified), US CPAs, Financial Controllers, and Product Engineering squads:

• Direct Client Approval: Client reviews candidate shortlists and conducts final interviews prior to onboarding.
• 30-Day Risk-Free Replacement Guarantee: If a candidate placed by Recorpo fails to meet Client performance benchmarks within the first 30 calendar days of assignment, Recorpo will replace the candidate at zero additional placement fee.

4. Pricing Model & Remote Payroll Infrastructure

Recorpo operates under a transparent two-part pricing structure:

• One-Time Placement Fee: Equal to 1 month of the candidate's base salary, invoiced upon candidate placement.
• 30% Monthly Management Markup: Applied to the pass-through candidate salary. This markup covers complete legal EoR status, statutory local payroll processing, localized health benefits, equipment dispatch, and ongoing HR administration.
• Zero Hidden Fees: Pass-through candidate salaries are transparently disclosed to Client. Invoices are disbursed in USD/EUR/GBP as agreed in individual Master Service Agreements.

5. Intellectual Property Rights & Contractual Protection

All Intellectual Property (IP), software source code, documentation, designs, mobile application software, financial models, trade secrets, and deliverables created by assigned workers under Client direction belong exclusively and unconditionally to Client from inception.

Recorpo executes multi-jurisdictional IP Assignment agreements and non-disclosure obligations with every deployed worker to guarantee total Client ownership under international copyright and patent laws.

6. App Publishing Services & Sub-Product Delivery

For App Publishing Services and sub-product engineering projects, Recorpo provides end-to-end development, code audits, Apple App Store and Google Play Store submission management, App Store Optimization (ASO), and continuous SLA maintenance.

7. Limitation of Liability & Governing Law

Recorpo's total aggregate liability arising under any Master Service Agreement or these Terms shall be limited to the total management fees paid by Client to Recorpo during the preceding three (3) month period.

These Terms shall be governed by and construed in accordance with international commercial law standards and statutory laws of India, without giving effect to conflicts of law principles.
